# ApyHub API Provider Terms

These API Provider Terms ("Terms") govern your listing of APIs on the ApyHub Marketplace. "ApyHub," "we," or "us" means APYHUB B.V., a company incorporated under the laws of The Netherlands, with its principal office at Keizersgracht 520H, 1017 EK Amsterdam, The Netherlands. "Provider" or "you" means the individual or entity accepting these Terms through the provider onboarding flow on the ApyHub platform.

By clicking "I agree" during provider onboarding, or by publishing any API on the Marketplace, you agree to these Terms. The Effective Date is the date you first accept them. If you are accepting these Terms on behalf of an entity, you represent and warrant that you have the authority to bind that entity and are doing so.

ApyHub operates a curated API marketplace (the "Marketplace") where third-party developers and companies ("Customers") can discover, purchase, and consume APIs. These Terms govern how your APIs are published, listed, and made available to Customers.

## 1. ApyHub Curated Marketplace

The Marketplace is a platform that enables providers to publish their APIs for use by ApyHub's Customers.

## 2. API Listing and Availability

2.1 Provider agrees to make certain APIs available on the Marketplace.

2.2 Provider grants ApyHub a non-exclusive, worldwide, royalty-free license to market, sell, and distribute the APIs through the Marketplace.

## 3. Quality Assurance and Testing

3.1 ApyHub will conduct testing and quality assurance on Provider APIs to ensure they meet the quality and security standards of the Marketplace.

3.2 ApyHub may propose changes to the APIs and their documentation to ensure they are of high quality and user-friendly. Provider agrees to implement and manage these changes in a timely manner in cooperation with ApyHub.

3.3 Provider will collaborate with ApyHub to ensure the APIs meet the quality standards required by the Marketplace.

## 4. Restrictions and Responsibilities

4.1 **Authority and Accuracy.** Provider represents and warrants that it possesses full authority to enter into these Terms. Provider further warrants that all information provided to ApyHub is and will be true, accurate, and complete.

4.2 **Intellectual Property.** Provider represents and warrants that it either owns or has duly licensed all intellectual property rights related to the APIs submitted for listing on the Marketplace. Specifically, Provider warrants that the script and logic of the APIs are original and not copied from other third-party providers. Provider is solely responsible for ensuring that the APIs do not infringe any third-party rights, including intellectual property rights and rights of privacy or publicity, and comply with all applicable laws and regulations.

4.3 **Data Licensing.** If the API includes any data, Provider represents that such data is duly licensed or owned by Provider. By licensing an application with data, Provider understands and agrees that it grants Customers a license to use such data.

4.4 **Competition Acknowledgment.** Provider acknowledges that other providers may develop and post similar APIs to the Marketplace. Provider agrees not to make any intellectual property infringement claims against such vendors for applications independently developed by them. ApyHub will ensure not to onboard APIs that are identical and are directly competing with Provider APIs.

4.5 **Third-Party Software.** Provider agrees to include any required attributions, copyright information, and other notices, terms, and conditions in its APIs if they include third-party "open source" software or other third-party intellectual property. Provider warrants that ApyHub's use of the API, as permitted under these Terms, will not violate any open source or third-party terms or agreements.

4.6 **Illegal Purposes.** Provider agrees not to post or submit any API that can be clearly used for illegal purposes.

4.7 **Security.** Provider is solely responsible for ensuring that the API does not transmit any viruses, worms, malware, or other harmful code.

4.8 **Marketplace Integrity.** Provider agrees not to take any action that interferes with, damages, or creates an excessive load on the Marketplace.

## 5. Billing and Payments

5.1 ApyHub will be responsible for billing users, collecting payments, and distributing revenue to Provider based on the actual API usage.

5.2 ApyHub will collect all subscription fees and other payments associated with Customer access to and use of APIs provided by Provider via the Marketplace.

5.3 Following ApyHub's receipt of the API fees, ApyHub will pass on the payout amount to Provider less the transaction fees.

5.4 Provider will be paid on a monthly basis in arrears via the ApyHub platform.

5.5 ApyHub, at its sole discretion, may modify its transaction fee with no less than 30 days advance notice.

5.6 Provider will be compensated at the end of each month based on the usage of their APIs during the preceding month, as detailed in the Payment Terms shown during provider onboarding.

5.7 ApyHub will provide Provider with detailed usage reports and revenue share calculations on a monthly basis.

5.8 **Provider's own usage is excluded from revenue calculations.** Calls originating from the Provider's own ApyHub organization, or from any organization controlled by, controlling, or under common control with the Provider, do not generate revenue, count toward minimum payouts, or accrue earnings of any kind. Calls flagged as self-originated are recorded for engineering and audit purposes only.

## 6. Monitoring and Reporting

6.1 ApyHub will offer real-time monitoring capabilities to Provider, allowing Provider to track the performance and usage of their APIs.

6.2 Provider will have access to a dashboard or similar interface to view metrics, analytics, and other performance data.

6.3 ApyHub continuously monitors traffic patterns, atom-cost distributions, and account graphs across the Marketplace to detect activity that is inconsistent with legitimate customer behavior. ApyHub may, at its sole discretion, request supporting evidence (server logs, deployment artifacts, account documentation) when traffic patterns warrant inquiry, and Provider agrees to cooperate in good faith with such inquiries.

## 7. Fair-use and Anti-Abuse

7.1 Provider must not engage in, sponsor, or knowingly tolerate any practice intended to inflate, fabricate, or misrepresent the atoms charged or the calls served through their APIs. Prohibited practices include, but are not limited to:

  - **Self-traffic**: routing calls through the Provider's own organization, employees, contractors, affiliates, or any account controlled by the Provider, with the purpose or effect of generating revenue.
  - **Fake account farms**: creating, controlling, or coordinating multiple Customer accounts to simulate organic traffic.
  - **Atom inflation**: charging an atom count for a request that is materially higher than the underlying compute, model, or service actually consumed, or applying a per-request cost designed to extract revenue rather than reflect cost.
  - **Botnet or scripted traffic**: directing automated, non-human traffic through customer accounts that the Provider influences or controls.
  - **Collusion**: coordinating with Customers, third parties, or other providers to drive non-genuine usage in exchange for off-platform consideration.

7.2 ApyHub reserves the right to audit historical activity at any time. **Detection or determination of prohibited activity, whether discovered contemporaneously or retrospectively, will result in:**

  - immediate suspension or termination of the Provider's account and all listed APIs;
  - reversal and clawback of any payouts attributable to the prohibited activity, including amounts already disbursed;
  - retention of any unpaid earnings as liquidated damages toward the costs of investigation and downstream customer remediation;
  - referral to applicable law-enforcement and tax authorities where the conduct constitutes fraud or other criminal activity in the relevant jurisdiction;
  - civil action for breach of these Terms, including recovery of legal costs.

7.3 The remedies in 7.2 are cumulative and in addition to any other rights ApyHub may have at law or in equity. Provider acknowledges that the integrity of atom accounting is fundamental to the marketplace and that prohibited activity causes harm to Customers, ApyHub, and other Providers — for which monetary damages alone may be insufficient.

7.4 Provider further agrees that ApyHub may retain technical metadata (account fingerprints, traffic graphs, atom-cost histograms, and similar signals) for the term of the agreement and for a reasonable period thereafter for the purpose of detecting and proving prohibited activity.

## 8. Promotion and Exclusivity

8.1 ApyHub will actively promote, market, and sell Provider's APIs through all available channels to maximize their visibility and usage.

8.2 ApyHub will not accept competing APIs that offer identical or substantially similar functionality to those provided by Provider, ensuring exclusivity in the Marketplace.

## 9. Support and Escalation

9.1 ApyHub will be the primary point of contact for user support and will handle initial user inquiries and issues.

9.2 Provider agrees to assist ApyHub with escalated support issues within a 24-hour response time, in order to ensure the best possible developer experience.

9.3 Provider's failure to meet the 24-hour SLA may result in penalties as detailed in the SLA terms shown during provider onboarding.

## 10. Term and Termination

10.1 These Terms commence on the Effective Date and continue until terminated as provided herein.

10.2 Either Provider or ApyHub may terminate these Terms with 60 days written notice.

10.3 ApyHub may immediately terminate these Terms if Provider fails to meet the SLA or breaches any other material provisions of these Terms.

10.4 Before termination, Provider and ApyHub will work together to ensure there is no service interruption for any applications of ApyHub users that depend on Provider APIs.

## 11. Intellectual Property Rights

11.1 Provider retains all rights, title, and interest in the APIs that it makes available on the Marketplace, including any intellectual property rights therein.

11.2 ApyHub retains all rights, title, and interest in and to the Marketplace, including any intellectual property rights therein.

## 12. Confidentiality

12.1 "Information" means intellectual property (including trade secrets, software and source code), information, or data existing or communicated in any form, including oral, written, graphic, electronic, or electromagnetic. "Proprietary Information" means information for which ApyHub imposes restrictions regarding use or disclosure, which is clearly marked as confidential, or which is disclosed orally with notice at the time of disclosure that such disclosure is confidential.

12.2 Provider will treat Proprietary Information disclosed by ApyHub as confidential and will safeguard it in the same manner that Provider treats its own Proprietary Information of like kind, but with no less than a reasonable degree of care. Provider will only use such Proprietary Information in connection with the purposes for which it was disclosed, and will not disclose, distribute, or disseminate it in any way, to anyone, except as provided in these Terms. Upon discovery of any unauthorized use or disclosure, Provider shall notify ApyHub and shall endeavor to prevent further unauthorized use or disclosure.

12.3 **Obligations.** Each party agrees to maintain the confidentiality of the other party's Confidential Information and not to use such information except as necessary to perform its obligations under these Terms.

12.4 Proprietary Information of ApyHub shall be treated as confidential and safeguarded by Provider for a period of ten (10) years after disclosure, unless the Proprietary Information is:

- generally available to the public, through no fault of Provider or its employees and without breach of these Terms;
- already in the possession of Provider without restriction and prior to any disclosure hereunder;
- developed independently by employees of Provider without breach of these Terms; or
- approved in writing for release or disclosure without restriction by ApyHub.

12.5 **Disclosure.** Each party agrees not to disclose any Confidential Information to any third party except as required by law, regulation, or court order, provided that the receiving party will give prompt written notice to the disclosing party of such requirement and reasonably cooperate with the disclosing party to seek protective measures.

12.6 **Return or Destruction.** Upon termination of these Terms, or upon the disclosing party's written request, the receiving party shall promptly return or destroy all materials containing Confidential Information of the disclosing party.

## 13. Ownership of Data

13.1 **Customer Data.** All data collected by ApyHub from customers using the APIs, including but not limited to usage data, transaction data, and personal data of end-users ("Customer Data"), shall be owned and maintained by ApyHub.

13.2 **Provider Data.** Provider retains ownership of any data that is collected directly by Provider from its APIs ("Provider Data").

13.3 **Obligation to Publish a Privacy Policy.** Provider must publish and maintain a comprehensive privacy policy that complies with all applicable data protection and privacy laws. This privacy policy must be made readily available to all Customers and users before any data collection or processing.

13.4 The privacy policy must clearly and accurately describe:

- the types of data collected from Customers and users;
- the purposes for which the data is collected, used, and processed;
- the methods and technologies used to collect data (e.g., cookies, tracking pixels);
- the ways in which data will be stored, secured, and protected;
- any third parties with whom data will be shared and the purposes of such sharing;
- the rights of Customers and users regarding their data, including access, correction, deletion, and objection rights;
- the process for Customers and users to exercise their rights;
- the retention period for the data collected; and
- contact information for data protection inquiries and concerns.

13.5 **Notification of Changes.** Provider must promptly notify Customers and ApyHub of any significant changes to the privacy policy. Provider shall ensure that all updates are communicated effectively and that Customers have the opportunity to review the updated policy before continuing to use Provider's API services.

13.6 **Compliance and Enforcement.** Provider must adhere to its published privacy policy and comply with all relevant data protection regulations. Any breach of this clause may result in termination of these Terms and may subject Provider to legal action.

13.7 **Data Use.** ApyHub may use Customer Data to operate, improve, and develop the Marketplace. Provider may use Customer Data in accordance with its privacy policies and applicable laws.

13.8 **Data Security.** Each party agrees to implement reasonable and appropriate measures to protect Customer Data and Provider Data against unauthorized access, disclosure, or loss.

## 14. Indemnification

14.1 Provider agrees to indemnify, defend, and hold harmless ApyHub, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with Provider's APIs or Provider's breach of these Terms.

## 15. Limitation of Liability

15.1 In no event will either party be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with these Terms.

15.2 The total liability of either party for any claim arising out of or in connection with these Terms will not exceed the amount paid or payable by ApyHub to Provider in the twelve (12) months preceding the claim.

## 16. Customer Ownership and Non-Contact

16.1 The customers of ApyHub (including any developers or companies purchasing or consuming Provider's APIs through the Marketplace) are considered to be the exclusive customers of ApyHub.

16.2 Provider acknowledges and agrees that it will not, directly or indirectly, contact, solicit, or engage with any customers of ApyHub without the prior written consent of ApyHub.

16.3 Any breach of this clause by Provider may result in immediate termination of these Terms and may subject Provider to legal action.

## 17. General Provisions

17.1 These Terms constitute the entire agreement between Provider and ApyHub and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.

17.2 ApyHub may update these Terms from time to time. When material changes are made, ApyHub will notify Provider and require re-acceptance before continued use of the Marketplace as a Provider. Minor updates (clarifications, typos, contact changes) will be announced in-product or by email without a blocking re-acceptance.

17.3 These Terms will be governed by and construed in accordance with the laws of The Netherlands, without regard to its conflict-of-law principles.

17.4 Any disputes arising out of or in connection with these Terms will be resolved by binding arbitration in Amsterdam, The Netherlands in accordance with Dutch law.

17.5 Provider may not assign these Terms without the prior written consent of ApyHub, except in connection with a merger, acquisition, or sale of all or substantially all of its assets. ApyHub may assign these Terms without Provider's prior written consent.

## Acceptance

By clicking "I agree" during provider onboarding, or by publishing any API on the Marketplace, Provider confirms that it has read, understood, and agrees to be bound by these Terms, and that, if accepting on behalf of an entity, Provider has the authority to do so.
